Terms of Service

Beta — DRAFT v0.1 (2026-09-16) — for lawyer review; not legal advice; not yet published

Last updated: [EFFECTIVE DATE]

These Terms of Service ("Terms") govern your use of Med Exam Helper (the "Service") operated by [LEGAL ENTITY NAME] ("we", "us", "our"), a company incorporated in [JURISDICTION OF INCORPORATION] with its registered office at [REGISTERED ADDRESS] (company number [COMPANY NUMBER]).

By creating an account, purchasing an access pack, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance

1.1. These Terms form a binding agreement between you and us from the moment you first access the Service, create an account, or purchase an access pack. Separate notices or click-through consents may apply to specific actions; they supplement these Terms.

2. The Service

2.1. Med Exam Helper is an exam-preparation web application providing simulated patient consultations, AI-assisted grading against clinical rubrics, AI-generated feedback, spaced-repetition flashcards, and progress tracking, aimed at UKMLA-style and NEET-PG audiences.

2.2. All patient cases are simulated. Outputs are generated by artificial intelligence, including models supplied by MiniMax and other providers we may add. Features we may add (analytics, error tracking, social login, broadcast channels, additional AI providers, geo-based abuse detection) are subject to these Terms and any notices issued when we enable them.

3. Eligibility and age

3.1. To use the Service you must be at least [18 years old — or 16 years old if the lawyer confirms a 16+ age gate is acceptable] (the "Age Gate"). [LAWYER NOTE: please confirm the minimum age. We propose 18+. If 16+, please add a clause requiring verifiable parental consent for users under 18 and ensure COPPA, the UK Age-Appropriate Design Code, and EU member-state equivalents are addressed in the Privacy Notice.]

3.2. You are responsible for ensuring that use of the Service is lawful in your country of residence. The Service is intended for medical trainees and clinicians.

4. Your account

4.1. One person, one account. Accounts are personal and non-transferable; you must not allow any other person to use your credentials or access the Service through your account.

4.2. You must provide a valid email address and a strong password. Passwords are stored using argon2 hashing; we cannot read your password. You must verify your email address before full access is granted, and must provide accurate information and keep it up to date.

4.3. Keep your credentials confidential and notify us at hello@medexamhelper.com immediately of any suspected unauthorised access; you are responsible for all activity under your account.

5. Single-session enforcement and security monitoring

5.1. We allow one active session per account; signing in on a new device signs out the previous session. This is an enforceable term of these Terms.

5.2. For abuse detection, we record the truncated IP-network prefix at sign-in (/24 for IPv4, /48 for IPv6). We do not store the full IP address for this purpose. Sharing, selling, transferring, or sub-licensing your account is a material breach (see clause 13).

6. Access packs (payment)

6.1. Access is sold as one-time access packs of three (3), six (6), or twelve (12) months. There are no subscriptions and no automatic renewal. Payment is processed by our payment providers (Polar as primary, with Razorpay and PayPal as fallbacks); prices, taxes, and any provider surcharges are shown at checkout. You must be the authorised holder of the payment instrument used.

6.2. Packs stack: buying a new pack before the current one expires adds its duration to your access. Each pack expires at the end of its stated period; you must then buy a new pack to continue using the Service.

6.3. Refunds and cancellations are governed by our Refund & Cancellation Policy, which is incorporated into these Terms.

7. Acceptable use

7.1. You must use the Service in accordance with our Acceptable Use Policy ("AUP"), which is incorporated into these Terms. The AUP prohibits credential sharing, scraping or harvesting the case bank, bulk automated access, prompt-extraction or jailbreaking attempts, submitting real patient data or anyone else's personal data into consults, unlawful or abusive content, and reselling access.

8. Intellectual property

8.1. We (and our licensors) own all rights in the Service, including the case bank, clinical rubrics, marking schemes, flashcard content, software, design, and trade marks ("Our Content"). Nothing in these Terms transfers ownership of Our Content to you.

8.2. You retain ownership of text, voice transcripts, and any other content you submit ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process, and display Your Content to operate the Service (grading, feedback, transcript playback, abuse detection, and record-keeping). The licence ends in respect of erased content after erasure, subject to legal retention obligations.

8.3. You must not copy, scrape, crawl, frame, mirror, decompile, disassemble, or reverse-engineer the case bank, rubrics, or marking schemes.

9. AI-generated content

9.1. Outputs (patient responses, grading, feedback) are AI-generated and may be inaccurate, incomplete, or unsuitable; they are educational, not clinical.

9.2. We make no warranty that any AI output is correct, complete, fit for any particular purpose, or non-infringing. You must not rely on AI output for real clinical decisions.

9.3. We do not claim ownership of AI output generated for you; to the extent permitted by law, we grant you a licence to use such output for your personal study. AI consults involve sending your text and voice transcripts to our LLM provider (currently MiniMax) under a data-processing agreement; see our Privacy Notice.

10. Medical and educational disclaimer

10.1. The Service is provided for educational and exam-preparation purposes only. It is not a medical device, not a clinical decision-support tool, and not a substitute for professional judgement, supervised training, or local clinical guidelines. Full disclaimers are set out in our Medical & Educational Disclaimer document, which is incorporated into these Terms.

11. Limitation of liability

11.1. To the maximum extent permitted by law, our aggregate liability to you for claims arising out of or relating to the Service in any 12-month period shall not exceed the amount you paid us for access packs in that period, and we exclude liability for indirect, incidental, special, consequential, or punitive damages, and for loss of profits, revenue, business, goodwill, or data.

11.2. Nothing in these Terms excludes or limits liability that cannot be excluded under the law that applies to you, including the Consumer Rights Act 2015 and the UK GDPR or EU GDPR (UK/EU); the Consumer Protection Act 2019 and the Consumer Protection (E-Commerce) Rules 2020 (India); the Consumer Protection Act (Quebec) and Law 25 (Quebec); the CCPA/CPRA (California); and PIPEDA and CASL (Canada).

12. Indemnity

12.1. You indemnify us against reasonable losses, claims, and costs arising from your wilful breach of these Terms, the AUP, or applicable law, or from unlawful content you submit. This indemnity is limited to losses actually caused by your breach and does not apply to the extent it would be unfair or unconscionable under the law that applies to you.

13. Suspension and termination

13.1. We may suspend or terminate your account immediately, with or without notice, if you: (a) breach these Terms, the AUP, or the law; (b) share, sell, or sub-license your account; (c) scrape, harvest, or reverse-engineer the case bank, rubrics, or marking schemes; (d) attempt to extract system prompts or jailbreak the patient simulator or grader; (e) submit real patient data or third-party personal data into the Service; or (f) cause a security or integrity risk to the Service or other users.

13.2. Where termination is for breach, no refund is owed. Where termination is at our convenience without breach, we may offer a pro-rata refund at our discretion, subject to statutory rights. You may close your account at any time by contacting us or using the in-product controls; data export and erasure are available in-product, subject to retention of payment and entitlement records as required by law.

14. Changes to these Terms

14.1. We may update these Terms with reasonable notice by email and, for material changes (payment terms, liability, dispute resolution, or data use), by an in-product notice. Continued use after the effective date constitutes acceptance. For material changes we may require re-confirmation; if you do not agree, stop using the Service and close your account.

15. Governing law and disputes

15.1. These Terms are governed by [GOVERNING LAW — lawyer to confirm], whose courts have non-exclusive jurisdiction (except where your mandatory consumer law lets you bring proceedings in your country of residence). We will try to resolve disputes informally first via hello@medexamhelper.com; if a dispute is not resolved within 30 days, either party may bring formal proceedings.

16. General

16.1. If any clause is held invalid or unenforceable, the rest continue in full force. These Terms, the AUP, the Refund & Cancellation Policy, the Privacy Notice, and the Medical & Educational Disclaimer form the entire agreement between you and us regarding the Service. We may assign these Terms as part of a reorganisation, merger, or sale of substantially all our assets; you may not.

17. Contact

17.1. Questions, complaints, and notices should be sent to hello@medexamhelper.com or by post to [REGISTERED ADDRESS]. We aim to acknowledge enquiries within five working days.

18. Mandatory consumer rights

18.1. Mandatory consumer protection laws of your country of residence prevail over any conflicting clause of these Terms.
